These Terms and Conditions (“Terms“) govern your access to and use of the ReviewLutions website and self-study courses (the “Service“). By accessing or using our Service, you agree to be bound by these Terms, which are meticulously crafted to comply with and are governed by relevant Philippine laws, including but not limited to the Consumer Act of the Philippines (Republic Act No. 7394), the Data Privacy Act of 2012 (Republic Act No. 10173), the Intellectual Property Code of the Philippines (Republic Act No. 8293), and the Electronic Commerce Act of 2000 (Republic Act No. 8792).

Please read these Terms carefully and in their entirety before subscribing to our Service. Your continued use of the Service signifies your unequivocal acceptance of these Terms.

1. Acceptance of Terms and Electronic Consent

By creating an account, accessing, or using the ReviewLutions Service, you explicitly acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, as well as our Privacy Policy, which is incorporated herein by reference. Your agreement to these Terms is manifested by clicking the “I Agree” or similar confirmation button during registration or subscription, which constitutes your electronic consent as defined under the Electronic Commerce Act of 2000 (Republic Act No. 8792). This clear action serves as your digital signature, legally binding you to this agreement.

If you do not agree with any part of these Terms, you are expressly prohibited from using our Service, and your sole recourse is to immediately cease all use.

2. Service Description and Nature of Program

ReviewLutions provides a distinct self-study, self-paced, distant learning program, offering meticulously researched, curated, and developed course content using advanced AI technologies, including AI-generated images and videos. Our Service is specifically designed to assist working professionals and distant learners in preparing for various examinations through independent study.

It is crucial to understand that ReviewLutions is NOT a traditional review center that offers in-person classes, direct instructor-led sessions, or live coaching. Our program is built on the premise of self-directed learning, where you control your study schedule and pace. While we provide comprehensive materials, your progress and success are primarily dependent on your individual commitment, discipline, and utilization of the provided resources. ReviewLutions is not an accredited educational institution, nor does it guarantee success in any examination.

3. Eligibility and Account Registration

3.1. Eligibility

To access and utilize the Service, you must be at least eighteen (18) years old or have reached the age of majority in your jurisdiction and possess the full legal capacity to enter into a binding contract under Philippine law. If you are a minor, you represent and warrant that you have obtained verifiable parental or guardian consent, and your parent or guardian agrees to be bound by these Terms on your behalf and assumes full responsibility for your compliance with these Terms.

3.2. Account Information

You agree to provide true, accurate, complete, and current information during the registration process and to promptly update such information to maintain its accuracy, completeness, and currency. Failure to do so constitutes a material breach of these Terms, which may result in the immediate suspension or termination of your account without refund.

3.3. Account Security

You are solely responsible for maintaining the strict confidentiality of your account login credentials (username and password) and for all activities that occur under your account, whether or not authorized by you. You agree to notify ReviewLutions immediately via [Insert ReviewLutions Support Email/Contact Form Link] of any unauthorized use of your account or any other breach of security. ReviewLutions will not be liable for any loss or damage arising from your failure to comply with this Section.

3.4. Record Keeping

ReviewLutions maintains reliable records of your electronic consent and contract terms. You may verify and retrieve your contract records by contacting our support team at [Insert ReviewLutions Support Email/Contact Form Link] or by accessing your account dashboard.

4. Course Access and Subscription

4.1. Access Grant

Upon successful verification of payment, you will be granted a limited, non-exclusive, non-transferable, revocable license to access the self-study course(s) for the specific duration specified in your subscription plan. This license is for your personal, non-commercial use only.

4.2. Course Materials

All course materials, including but not limited to text, images, videos, audio clips, quizzes, and any supplementary content, are provided strictly for your personal, non-commercial self-study purposes only. Any reproduction, distribution, public display, or commercial exploitation of these materials is strictly prohibited and constitutes a violation of these Terms and applicable intellectual property laws.

4.3. Content Updates

You understand and agree that the course content, including AI-generated elements, is subject to continuous review, updating, and improvement by ReviewLutions to ensure relevance, accuracy, and effectiveness. ReviewLutions reserves the right to modify, add, or remove content at its sole discretion without prior notice.

5. Money-Back Guarantee and Refund Policies

ReviewLutions offers various refund options, each subject to strict, non-negotiable conditions:

5.1. Money-Back Guarantee (12-Month Exam Failure)

A. Completion of Full Course with Certificate: The subscriber must have successfully completed 100% of the entire self-study course within their subscription period, as unequivocally evidenced by the issuance of an official completion certificate from ReviewLutions. This includes, without limitation, completing all modules, quizzes, any required assignments, and internal course assessments. Partial completion will not qualify for a refund.

B. Attempting at Least One (1) Exam within 12 Months: The subscriber must have attempted and officially failed the actual target examination on at least one (1) official exam date within the 12-month subscription period. The exam attempt must be for the specific exam the ReviewLutions course was designed to prepare the subscriber for.

C. Proof of Exam Attempt and Failure: For each exam attempt, the subscriber must provide original, official, and verifiable proof of failure (e.g., official exam transcript or result notice directly issued by the examination body) clearly indicating the subscriber’s name, exam date, and a failing result. Photocopies, screenshots, or unofficial documents will not be accepted.

D. Timely Application for Refund: If all the above conditions (A, B, and C) are strictly met, the subscriber must submit a formal refund application within thirty (30) calendar days after the end of their 12-month subscription period. Applications received beyond this period will be automatically denied.

E. Exclusions from Money-Back Guarantee: The money-back guarantee explicitly does not apply to:

* Subscribers who failed to complete the full course as required in Section 5.1.A.

* Subscribers who failed to attempt the target exam at least once within their subscription period as required in Section 5.1.B.

* Subscribers who failed due to reasons other than the demonstrable ineffectiveness of the ReviewLutions course material (e.g., technical issues on the examinee’s end during the exam, personal circumstances, non-compliance with examination rules, misconduct during the exam, misinterpretation of exam instructions).

* Refunds for partial course completion or change of mind after the initial 24-hour satisfaction period (see Section 5.2) or content error claims (see Section 5.4).

* Any and all expenses incurred related to taking the actual exams (e.g., examination fees, travel expenses, accommodation, loss of income), as these are separate costs and not part of the ReviewLutions Service fee.

* Instances where the examination body changes the exam format, scope, or requirements after the subscriber’s purchase, unless ReviewLutions explicitly states otherwise in writing.

5.2. Initial Satisfaction Guarantee (24-Hour Cooling-Off Period)

If the subscriber is demonstrably unsatisfied with the ReviewLutions course for any reason whatsoever, they may request a refund within twenty-four (24) hours from their initial purchase date and time. This “cooling-off” period is provided to ensure your initial satisfaction. This refund will be subject to the deductions outlined in Section 5.3. To initiate this refund, please contact us at [Insert ReviewLutions Support Email/Contact Form Link] within the strict 24-hour period. Requests beyond this 24-hour window will not be entertained.

5.3. General Refund Process and Deductions for Sections 5.1 and 5.2

A. Request Submission: To initiate a refund request under either the 12-month money-back guarantee (Section 5.1) or the 24-hour satisfaction guarantee (Section 5.2), the subscriber must submit a formal, written request to [Insert ReviewLutions Support Email/Contact Form Link] within the stipulated timeframe.

B. Required Documentation: The request must include, at minimum:

* Subscriber’s full legal name and email address registered with ReviewLutions.

* Copy of ReviewLutions course completion certificate (mandatory for the 12-month guarantee).

* Original, official, and verifiable proof of failure for the exam attempt, clearly showing the exam date, subscriber’s name, and failing result (mandatory for the 12-month guarantee).

* A clear and concise reason for the refund request.

C. Verification and Processing: ReviewLutions will verify eligibility and the authenticity of all submitted documents within fifteen (15) calendar days from receipt of a complete refund request. If approved, the refund will be processed to the original payment method within another thirty (30) business days. The actual receipt of funds may depend on your bank’s processing times.

D. Deductions: Please be advised that for all approved refunds under Sections 5.1 and 5.2, a mandatory deduction for server fees, administrative fees, payment gateway charges, and all relevant Philippine taxes (e.g., Value Added Tax) will be applied to the refunded amount. These deductions cover the non-recoverable costs associated with providing the Service. The specific percentage or fixed amount of these deductions will be clearly communicated upon approval of the refund request.

E. Consequence of Refund: Your access to course materials will immediately and irrevocably cease upon refund approval, as detailed in Section 18 (Account Termination).

5.4. Content Accuracy Refund (Mistake in Content)

ReviewLutions is committed to the accuracy of its content. Should a subscriber discover and be able to definitively prove a material factual error in any of the content provided within the subscribed course, ReviewLutions will offer a refund under the following strict conditions:

A. Proof of Error: The subscriber must provide clear, undeniable, and verifiable proof of a material factual mistake in the ReviewLutions course content. A “material factual mistake” is defined as a significant misstatement of core principles, universally accepted facts, or official legal/regulatory provisions that would directly lead to a demonstrably incorrect answer in an examination. This proof must include specific references to the erroneous content and cross-references to official, authoritative sources (e.g., official government issuances, established academic texts, universally accepted scientific principles) that contradict the ReviewLutions content.

B. Filing Period: The claim for a content accuracy refund must be filed within your active subscription period. Claims filed after the subscription has expired will not be entertained.

C. Validation Process: Upon receipt of a claim under this Section, ReviewLutions will conduct an internal validation process, which may include consultation with subject matter experts. ReviewLutions will validate the claim within thirty (30) business days from the date of submission of complete proof. ReviewLutions’ determination of the validity of the error shall be final and binding.

D. Refund Processing: If ReviewLutions validates the existence of a material factual error as proven by the subscriber, a refund will be processed to the original payment method within thirty (30) business days of such validation.

E. Deductions for Content Accuracy Refund: For approved refunds under this Section 5.4, a deduction solely for relevant Philippine taxes (e.g., Value Added Tax) will be applied to the refunded amount. No other administrative fees, server fees, or payment gateway charges shall be deducted for refunds processed under this specific provision.

F. Consequence of Content Accuracy Refund: Upon successful refund under this Section 5.4, your payment for the affected course will be refunded (minus applicable taxes as per Section 5.4.E). However, your access to the remainder of the subscription period for that specific course will continue at no additional cost. This refund and complimentary continued access are applicable only to the specific course where the material factual error is proven, not necessarily to all courses subscribed to if the error is isolated to one. All other terms and conditions regarding account termination (Section 18) apply upon the natural expiration of this complimentary access.

6. Intellectual Property Rights

6.1. Ownership

All content on the ReviewLutions website and within the courses, including but not limited to text, graphics, logos, images, videos, audio clips, course materials, quizzes, and the compilation thereof, whether human-created or AI-generated, is the exclusive property of ReviewLutions or its content suppliers and is protected by Philippine and international copyright, trademark, patent, trade secret, and other intellectual property laws. Republic Act No. 8293 (Intellectual Property Code of the Philippines) explicitly protects these rights.

6.2. AI-Generated Content

The use of advanced AI technologies in the development, compilation, and curation of our content does not diminish our ownership or the protection afforded by intellectual property laws. ReviewLutions asserts its full and exclusive rights as the creator, editor, compiler, and proprietor of the compiled and curated AI-generated content used in its courses. This includes the right to claim authorship and ownership over the final, integrated work.

6.3. Limited License

You are granted a limited, non-exclusive, non-transferable, revocable, and personal license to access and use the Service and its content solely for your personal, non-commercial self-study purposes in strict accordance with these Terms.

6.4. Prohibited Uses

You may not, and agree not to, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, license, or otherwise exploit any of the material on our Service, except as expressly permitted herein. This includes, but is not limited to:

  • Copying, sharing, or disseminating course content to any third party.
  • Using any content for commercial purposes or for the benefit of any third party.
  • Modifying or adapting any part of the course content.
  • Attempting to reverse engineer, decompile, or disassemble any software or AI models used in the Service.

6.5. Permitted Limited Uses

Notwithstanding Section 6.4, you may:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your web browser for display enhancement purposes.
  • You may print one (1) copy of a reasonable number of pages of the website and course materials for your personal, non-commercial use only, and not for further reproduction, publication, or distribution.

6.6. Enforcement

Any unauthorized use, reproduction, distribution, or commercial exploitation of the Service’s content, including but not limited to AI-generated elements, will be subject to strict legal action under the Intellectual Property Code of the Philippines and other applicable laws, potentially including civil damages, injunctive relief, and criminal penalties.

7. User Conduct

7.1. Lawful Use

You agree to use the Service solely for lawful purposes and in strict accordance with these Terms and all applicable national and local laws and regulations in the Philippines.

7.2. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Service in any manner that violates any applicable federal, national, provincial, or local laws or regulations.
  • Engaging in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by ReviewLutions in its sole discretion, may harm ReviewLutions or users of the Service or expose them to liability.
  • Using any robot, spider, scraper, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service, without our express prior written consent.
  • Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
  • Engaging in any form of cheating, collusion, sharing of answers, unauthorized collaboration, or any other act intended to gain an unfair advantage in relation to the course or the exams it prepares you for.
  • Impersonating or attempting to impersonate ReviewLutions, a ReviewLutions employee, another user, or any other person or entity.
  • Collecting or harvesting any personally identifiable information from the Service without explicit permission.
  • Soliciting other users for commercial purposes.

8. Accuracy of Content and AI Disclosure

8.1. Content Accuracy Disclosure

ReviewLutions explicitly states that it utilizes advanced AI technologies to research, develop, and generate significant portions of its course content, including concepts and practice questions. While ReviewLutions strives for the highest reasonable level of accuracy and has implemented a rigorous internal verification process where each concept and question undergoes AI verification at least three (3) times, ReviewLutions does not warrant or guarantee the absolute accuracy, completeness, or reliability of all AI-generated and validated content.

8.2. Limitations of AI and Disclaimer for Self-Study

Despite our rigorous AI-driven and human-validated verification process, it is important for users to understand that inherent limitations exist with AI models, and consequently, some errors, inaccuracies, or omissions might be present in the content. The accuracy of the content is inherently limited to the data and capabilities of the AI models used during its creation and verification, as well as the ever-evolving nature of examination content. ReviewLutions expressly disclaims any warranty that the content will be entirely error-free, perfectly exhaustive, or perfectly align with every possible interpretation of examination topics or official examination guidelines.

As a self-study program, you are solely responsible for your learning process. We strongly encourage users to cross-reference information, consult official examination resources, textbooks, and other reputable sources where necessary to supplement their learning and confirm critical information. Your diligence in verifying and supplementing the information provided in the Service is crucial for your preparation. Your reliance on the information provided in the Service is strictly at your own risk.

9. Privacy Policy and Data Protection

9.1. Compliance

ReviewLutions is unequivocally committed to protecting your privacy and personal data. Our collection, use, processing, and storage of your personal data are strictly governed by our Privacy Policy, which is fully compliant with the Data Privacy Act of 2012 (Republic Act No. 10173), its Implementing Rules and Regulations, and other relevant Philippine data privacy laws and regulations.

9.2. Consent

By using the Service, you provide your explicit consent to our collection, use, and disclosure of your personal information as described in our Privacy Policy. You have the right to withdraw your consent at any time, subject to the conditions and procedures outlined in our Privacy Policy.

9.3. Security Measures

We implement appropriate and reasonable organizational, technical, and physical security measures to protect your personal data from unauthorized access, accidental loss, alteration, disclosure, or destruction. However, no method of transmission over the Internet or method of electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your personal data, we cannot guarantee its absolute security.

9.4. Data Protection Officer and Data Subject Rights

ReviewLutions has appointed a Data Protection Officer (DPO) to oversee our data privacy compliance. 10. Disclaimer of Warranties

NOTHING IN THESE TERMS AND CONDITIONS LIMITS OR EXCLUDES THE CONSUMER’S STATUTORY RIGHTS UNDER REPUBLIC ACT NO. 7394 (CONSUMER ACT OF THE PHILIPPINES), INCLUDING WARRANTIES THAT DIGITAL CONTENT WILL CONFORM TO ITS DESCRIPTION.

10.1. “As Is” and “As Available” Basis

The Service and its content are provided on an “as is” and “as available” basis, without any express or implied warranties of any kind, except for statutory warranties that cannot be waived. ReviewLutions expressly disclaims all other implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy (beyond the efforts stated in Section 8), security, or course of performance.

10.2. No Guarantee of Completeness or Usefulness

While ReviewLutions endeavors to provide accurate and up-to-date content, we do not warrant or guarantee the absolute accuracy, completeness, or usefulness of this information beyond the efforts stated in Section 8 (Accuracy of Content and AI Disclosure). Any reliance you place on such information is strictly at your own risk and discretion.

10.3. Service Availability

ReviewLutions does not warrant or guarantee that the Service will be uninterrupted, secure, timely, error-free, or free from viruses or other harmful components, or that defects will be corrected. You acknowledge that access to the Service may be occasionally restricted or interrupted to allow for repairs, maintenance, or the introduction of new facilities or services.

10.4. No Success Guarantee

ReviewLutions does not guarantee that the use of its Service or course materials will result in passing any examination. The outcome of an examination depends on numerous factors beyond the control of ReviewLutions, including but not limited to your individual effort, study habits, prior knowledge, and performance on the actual exam day.

11. Limitation of Liability

11.1. Exclusion of Indirect Damages

To the fullest extent permitted by applicable Philippine law, in no event shall ReviewLutions, its affiliates, licensors, service providers, or their respective directors, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, use, goodwill, business interruption, or other intangible losses, arising out of or in connection with your access to, use of, or inability to access or use the Service, even if ReviewLutions has been advised of the possibility of such damages. This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), except where such liability arises from ReviewLutions’ gross negligence or willful misconduct.

11.2. Aggregate Liability Cap

Notwithstanding the money-back guarantee outlined in Section 5, ReviewLutions’ total aggregate liability to you for any and all claims, damages, or causes of action arising from or related to these Terms or your use of the Service shall not exceed the amount you actually paid for the specific course giving rise to the claim, less any applicable deductions as outlined in Section 5.3.D or Section 5.4.E, as the case may be. This limitation is cumulative and will not be increased by the existence of more than one incident or claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless ReviewLutions, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees and litigation costs) arising out of or relating to:

  • Your violation of these Terms or your breach of any representation or warranty made herein;
  • Your violation of any rights of another party, including intellectual property rights, in connection with your use of the Service; or
  • Your negligent or willful misconduct in connection with your use of the Service.

13. Limitation Period

To the fullest extent permitted by Philippine law, including Article 1157 of the Civil Code, any Claim relating to or arising under these Terms must be commenced within six (6) years from the date the cause of action accrued. Claims filed thereafter are irrevocably time-barred.

14. Arbitration and Waiver of Class/Representative Actions

14.1. ARBITRATION AGREEMENT

Except for requests for injunctive or other equitable relief (e.g., to prevent unauthorized use of intellectual property), and DTI complaints or other non-arbitrable matters as detailed in Section 16, any dispute, controversy or claim arising out of or relating to these Terms, including the validity, interpretation, breach or termination thereof, shall be finally resolved by arbitration in accordance with Republic Act No. 9285 (Alternative Dispute Resolution Act of 2004) and the PDRCI Rules then in effect.

By agreeing to these Terms, you understand and acknowledge that you are waiving your right to resolve disputes through court litigation, except for the limited exceptions stated herein. The seat of arbitration shall be Quezon City, Metro Manila; the language shall be English. The arbitral award shall be final and binding upon the parties.

14.2. WAIVER OF CLASS/REPRESENTATIVE ACTIONS

You and ReviewLutions each waive any right to a jury trial or to participate in a class, collective, consolidated, or representative proceeding, whether in court or in arbitration. This means that all claims must be brought individually, and not as part of a class action or any similar collective proceeding.

15. Force Majeure

Neither party shall be liable for any delay or failure in performance due to causes beyond its reasonable control, including acts of God, flood, fire, war, terrorism, civil unrest, labor disputes, pandemic, governmental action, Internet or utility failures, or other “force majeure” events under Article 1174 of the Civil Code. The affected party must notify the other as soon as practicable and resume performance as soon as the event ceases.

16. Governing Law and Exclusive Venue (for non-arbitrable matters)

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

For any disputes not subject to arbitration as per Section 14 (e.g., requests for injunctive relief or complaints filed with the Department of Trade and Industry (DTI)), the parties agree to amicably resolve the matter through good faith negotiations. The aggrieved party shall provide written notice of the dispute to the other party, detailing the nature of the dispute. If an amicable settlement cannot be reached within thirty (30) calendar days from the date of the written notice, the dispute shall be submitted to the appropriate courts of Quezon City, Metro Manila, Philippines, to the exclusion of all other courts. You hereby irrevocably consent to the exclusive jurisdiction and venue of such courts for such non-arbitrable matters.

17. Changes to Terms and Conditions (Amendments)

ReviewLutions reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. We will provide at least thirty (30) days’ prior notice via email to the address associated with your account or by prominently posting a notice on our website before any new terms take effect.

A “material change” includes, but is not limited to, changes to subscription fees, significant alterations to refund policies, or substantial modifications to the scope of service. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to a material change, your sole remedy is to terminate your subscription in accordance with Section 18.2 within thirty (30) days of receiving notice of the material change, and you shall receive a pro-rata refund for the unused portion of your subscription, calculated based on the remaining full months of your subscription from the effective date of the material change. If you do not agree to non-material changes, you must cease using the Service.

18. Account Termination

18.1. Automatic Termination

Your access to the Service and all course materials will automatically terminate upon the natural expiration of your purchased subscription period (e.g., 12-month period).

18.2. Termination for Refund Request or Material Change Disagreement

Upon a request for a 24-hour refund (Section 5.2) or if you terminate your subscription due to disagreement with a material change (Section 17), ReviewLutions reserves the right to immediately terminate your subscription and access to the Service, even prior to the completion of any refund process.

18.3. Consequences of Termination or Refund

If your account is terminated for any reason (expiration, refund from Section 5.1 or 5.2, or breach), your access to the ReviewLutions course materials, including any downloaded content, will cease immediately and irrevocably. Any continued access, retention, or unauthorized use of the materials after termination or refund voids any guarantees, constitutes a material breach of these Terms, and may result in immediate legal action, including but not limited to claims for damages and injunctive relief. Note that the consequence for a content accuracy refund (Section 5.4) is explicitly detailed in Section 5.4.F.

18.4. Termination for Breach

ReviewLutions reserves the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach any of these Terms and Conditions. Upon termination for breach, you forfeit any right to a refund.

19. Notice and Opportunity to Cure
